These Terms of Service (the “Terms”) govern your access to and use of the WoodBid Exchange marketplace, websites and services (the “Platform”), operated by WoodBid Exchange. By creating an account, listing a lot, or placing a bid, you agree to be bound by these Terms.
01Acceptance of terms
By accessing or using the Platform you confirm that you can form a binding contract, that you are acting on behalf of a business you are authorised to represent, and that you accept these Terms and our Privacy Policy and Auction Rules.
If you do not agree, you may not use the Platform.
02Accounts and verification
To list lots or place bids you must register an account and complete verification. You agree that all information and documents you provide are accurate, current and complete, and that you will keep them up to date.
- Eligibility. Accounts are for businesses; you must be authorised to bind the business you represent.
- Security. You are responsible for activity under your account and for safeguarding your credentials.
- Suspension. We may suspend or close accounts that provide false information or breach these Terms.
03Listings and bids
Sellers are responsible for the accuracy of their listings, including volume, region, certification and documents. Buyers are responsible for the bids they place.
Bids are binding. Every bid is a firm offer for the duration of the auction and cannot be retracted. Placing the winning bid creates a binding obligation to proceed to settlement under the lot’s terms and the Auction Rules.
04Fees
Creating an account and watching auctions is free. WoodBid charges a settlement fee on completed transactions only; there is no listing fee for sellers and no charge to place a bid. Applicable fees are disclosed before a transaction completes.
05Settlement and forfeiture
Following a winning bid, settlement proceeds as described in the deal room and the Auction Rules. Failure to sign the contract or pay the prepayment within the stated windows constitutes a forfeit, and the win may pass to the next ranked bidder. WoodBid is not a party to the underlying sale contract between buyer and seller.
06Prohibited conduct
- Manipulating bids, colluding with other bidders, or using the Platform to inflate or suppress prices.
- Submitting false documents or misrepresenting a lot.
- Interfering with the Platform’s operation or security.
- Using the Platform for any unlawful purpose.
07Disclaimers and liability
The Platform is provided “as is”. WoodBid facilitates transactions but does not guarantee the quality, legality or delivery of any lot. To the maximum extent permitted by law, WoodBid’s liability arising from your use of the Platform is limited to the fees you paid to WoodBid in the twelve months preceding the claim.
08Changes to these terms
We may update these Terms from time to time. Material changes will be notified through the Platform. Continued use after changes take effect constitutes acceptance of the updated Terms. Questions can be directed to our team via the contact page.
